ORN Holdings Ltd is a UK domiciled organised to originate, develop and manage property projects in the UK, Europe, the neighbouring countries in Turkey and the countries in the region.

Its mission is to partner with top tier developers in international markets including the UK to identify and develop and execute high-quality property projects, including residential complexes for high end and middle-income families, business centres, resorts, education complexes and hospitals.

It will engage the services of Ihlas Construction Holding , the construction arm of the Ihlas Group, and leverage its vast large construction project execution experience in collaboration with international developer partners and financial institutions.

The Company was formed by Jordans Corporate Law, a UK law firm ( www.jordanscorporatelaw.com ). Jordan’s affiliate, Jordans Trust Services, provides corporate secretarial services. Mr. Arvinder Sood of Hanover Square Capital (UK) Ltd is also a director of ORN Holdings Ltd.

The rationale for creating a UK based company is to attract capital from international lenders while Turkey undergoes structural changes, as well as to engage in joint venture arrangements with internationally recognised property developers and management companies, as the UK is considered a business-friendly legal jurisdiction.

Working with Vistra, Jordans is able to provide comprehensive legal and corporate services to advise on, support and implement international, tax efficient group structures in multiple jursidictions.

  • Jordans and Vistra will implement a holding structure that will manage the interests of the UK project partners, investors, lenders and other interested parties. This can include local holding companies, trust structures, offshore holding companies to utilize double tax treaties to manage the efficient repatriation of profits.

  • Jordans and Vistra will work in close co-operation with investors and lenders and their respective counsel to fund, hold and manage Georgian property investments.
